Terms and Conditions for the MOGU Platform

1. Purpose

MOGU is a technology tool for travel agencies to manage proposals, sales, CRM, communications, documentation and booking payments through an online platform.

MOGU provides technology infrastructure. MOGU does not act as intermediary, tour operator or travel agent for the trips offered by THE AGENCY and is not responsible for their organization, execution or quality.

2. Subscription Plans

Plans may be monthly or annual. Access to features, integrations, artificial intelligence, support and usage limits depends on the contracted plan. Prices and conditions are published on MOGU's official website and may be changed with 30 days' prior notice where legally required.

3. Cancellation

Agencies may cancel at any time without penalty. Access continues until the end of the active billing period. Before cancelling, the agency should download or export the content it needs to keep, where the platform allows it.

After the subscription ends, access to the platform and its content may be restricted or deleted according to the applicable retention policy.

4. Responsibility for Trips

MOGU provides a technology service. THE AGENCY is solely responsible for its contractual relationship with travelers, published information, payments and refunds, cancellations, tax obligations, applicable tourism regulations and compliance with all laws.

5. Ownership and Responsibility for Data

Ownership: agencies own the data they enter into or connect to MOGU. MOGU acts as processor when it processes data on behalf of the agency, without prejudice to processing where MOGU acts as controller under its Privacy Policy.

Protection: MOGU applies reasonable technical and organizational measures to protect personal and business data in accordance with the GDPR and other applicable regulations.

Data will not be shared with third parties for their own purposes without consent, except where legally required or with providers necessary to deliver the service under appropriate safeguards.

6. Third-Party Integrations and External APIs

MOGU may offer optional integrations with third-party services, including Google Gmail, Google Calendar, Google Drive, Microsoft Outlook and Microsoft 365 Calendar. These integrations operate only when an authorized user of the agency expressly connects them and grants the permissions requested by the provider.

The agency represents that it has the right to connect those accounts and process the data imported or used from them. The agency is responsible for informing its users, employees, collaborators, travelers and contacts where required.

MOGU uses connected integrations only to provide visible features requested by the user: for example, showing Gmail or Outlook/Microsoft 365 emails in the CRM, replying to or drafting emails from MOGU, reading attachments requested by the user, viewing or managing Google or Microsoft calendar events, searching or reading Drive documents and importing information to create proposals, trips or operational content.

Actions that send emails, create, update or delete calendar events, or modify files in external provider accounts require explicit user request or confirmation before execution.

Users may disconnect integrations from MOGU or revoke permissions at the provider. When Gmail or Outlook/Microsoft 365 Mail is disconnected, MOGU stops accessing new emails and deletes CRM-synchronized emails according to the Privacy Policy. Disconnection does not necessarily delete content that the agency manually created or generated in MOGU from previously imported information, unless an applicable deletion request is made.

MOGU's use of information received from Google APIs is governed by the Google API Services User Data Policy, including the Limited Use requirements. MOGU's use of information received from Microsoft APIs is subject to the Microsoft APIs Terms of Use.

7. Artificial Intelligence

MOGU may include artificial-intelligence features to help draft, summarize, search, organize or generate content. The agency is responsible for reviewing outputs before using them with travelers or third parties.

MOGU does not guarantee that AI-generated outputs are complete, accurate or suitable for every case. Final commercial, legal, travel, pricing, availability and communication decisions belong to THE AGENCY.

8. Support

Technical support depends on the contracted plan, with different levels according to the monthly or annual subscription.

9. Updates and Maintenance

MOGU may make updates, changes and improvements to the platform. Planned maintenance interruptions will be notified when reasonably possible.

10. Changes to Terms

MOGU may modify these terms with 30 days' prior notice where the modification materially affects the contractual relationship. Agencies may cancel before the new conditions enter into force.

11. Limitation of Liability

MOGU is not liable for indirect damages, loss of profit, loss of business, data loss caused by unauthorized use or agency breaches, or incidents attributable to external providers, third-party services or force majeure. MOGU does not guarantee absolute absence of errors but will address incidents according to the contracted plan.

12. Jurisdiction and Governing Law

These terms are governed by Spanish law. Disputes will be resolved by the Courts of Granada, Spain, unless mandatory law provides another venue.
